By clicking "I Agree" or continuing to use the Platform, you acknowledge that you have read, understood, and consent to these Terms, which constitute a legally binding contract between you and SourceIt.

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict-law principles. Any dispute not resolved through the procedures set forth herein shall be subject to the exclusive jurisdiction of the state or federal courts located in Salt Lake County, Utah.

All purchases and transactions conducted between Buyers and Suppliers through the Platform are legally binding contracts. Suppliers warrant that all information provided regarding goods and services is accurate, complete, and not misleading. Any misrepresentation or failure to deliver as promised constitutes a breach of contract, for which Suppliers may be held liable.

All payments made through the Platform are processed by Stripe, a third-party payment processor. By using the Platform, you agree to abide by Stripe's terms and conditions, which are incorporated herein by reference. SourceIt is not responsible for any issues arising from Stripe's processing of payments.

a. Mandatory Arbitration: All disputes, claims, or controversies arising out of or relating to these Terms or your use of the Platform—including disputes between Buyers and Suppliers—must be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its rules then in effect.

b. Scope of Arbitration: Arbitration is intended solely for resolving disputes between the transacting parties (Buyers and Suppliers). SourceIt acts only as a neutral intermediary and is not a party to any transaction or dispute. Accordingly, SourceIt shall have no responsibility for arbitration costs or proceedings between Buyers and Suppliers.

c. Waiver of Class Actions and Jury Trials: You agree that any dispute arising under these Terms must be resolved on an individual basis only. You expressly waive any right to participate in any class, collective, mass, or representative action, whether in arbitration or in court. You also waive your right to a trial by jury.

d. Arbitration Costs: Each party shall bear its own costs and fees incurred in the arbitration process, unless the arbitrator determines otherwise pursuant to AAA rules.

e. Confidentiality: All arbitration proceedings, communications, and any resulting award shall be confidential and shall not be disclosed to any third party except as required by law or as necessary to enforce the award.

SourceIt is solely a platform that facilitates connections between construction companies (Buyers) and material Suppliers. We do not verify or control the accuracy, quality, or delivery of goods or services provided by Suppliers. Any dispute arising solely between Buyers and Suppliers shall be resolved by those parties directly without involving SourceIt.

To the maximum extent permitted by law, SourceIt and its affiliates, officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from or relating to your use of the Platform or any transactions between Buyers and Suppliers.

Suppliers agree to indemnify, defend, and hold harmless SourceIt from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys' fees) arising from or relating to any breach by the Supplier of its representations, warranties, or obligations under these Terms, including any failure to deliver goods or services as described.

SourceIt shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure is due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, labor disputes, or disruptions in telecommunications or internet services.

SourceIt reserves the right to modify or update these Terms at any time. Any changes will be posted on the Platform and become effective immediately upon posting. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

By clicking "I Agree," you confirm that you have read, understood, and agree to these Terms of Use, including the binding dispute resolution provisions, the waiver of class action lawsuits, and the legally binding transaction obligations. You consent to be bound by these Terms.
